How to ask payroll to correct an RSU vest: an evidence-first workflow

A useful RSU payroll request identifies one event, one disputed field, expected and reported amounts, and the documents supporting the difference.

Your RSU vest does not reconcile to a pay stub, year-to-date wages, state allocation, or FICA lines, and you want payroll to investigate a specific error instead of sending you between HR, the broker, and the plan administrator.

In plain terms

Build a one- reconciliation before asking for a correction: identify the exact field, expected amount, reported amount, and dollar difference, then attach the confirmation and relevant pay stubs. Ask payroll which method, event date, state setup, and FICA treatment it used. During the same calendar year payroll may be able to correct payroll records; after year-end, a wage-reporting error generally requires the employer to decide whether to issue Form W-2c.

Gather before you start

  • confirmation or release statement for the disputed event.
  • Pay stub for that payroll and the immediately preceding pay stub.
  • Current or year-to-date payroll summary, depending on timing.
  • Plan policy and broker transaction or lot-detail export.
  • Residence or work-location change confirmation if state wages are disputed.

How the tax works

Payroll, the stock-plan administrator, and the broker own different parts of an event. The plan system determines or transmits the event details, payroll records wages and employment taxes, and the broker records shares and sales. A request that merely says the broker price looks wrong gives none of those teams a precise field to trace.

A useful escalation isolates one discrepancy at a time: identifier and date, gross shares, expected method, expected wage value, pay-stub value, and difference. Attach the source documents and show the arithmetic. This lets payroll distinguish a true wage issue from rounding, net-share presentation, or a sale-price comparison.

The questions you ask should reveal the calculation rather than assume its answer. Request the methodology and valuation date used, the payroll pay period, the work and residence state settings, and the treatment of Social Security and Medicare wages. If payroll used a different method or location, ask for the policy or source record supporting it.

Timing changes the correction path. While the payroll year remains open, the employer may be able to reverse and rebook an event, adjust year-to-date wage fields, or correct a later payroll. Once Forms have been produced, an employer-confirmed wage or reporting error is generally handled through Form W-2c rather than an employee editing the original .

Not every tax shortfall is a payroll error. Correct wages can still have insufficient federal or state income-tax , and a broker can report missing basis even when payroll is right. Keep the requested remedy tied to the field that is wrong: wage correction from payroll, basis documentation or correction from the broker, and prospective changes through payroll elections or Form W-4.

What to check on your end

  • Name the grant, , payroll date, and exact disputed line or tax box.
  • State expected amount, reported amount, difference, and calculation in a short reconciliation.
  • Attach the confirmation and both current and prior pay stubs so year-to-date changes are visible.
  • Ask which methodology, price date, and rounding convention payroll applied.
  • Ask which work state, residence state, and allocation record payroll used for the .
  • Ask how Social Security and Medicare wages and were calculated for the event.
  • Request a case number, written calculation, correction type, and expected timing if payroll confirms an error.

Requesting a W-2c before establishing that payroll wages are wrong

A low percentage, different broker price, or fewer net shares does not by itself prove the is wrong. First reconcile the wage field and obtain payroll's methodology; then request the correction that matches the confirmed error.

What to pull from your files

  • confirmation for event ID, gross shares, , and shares.
  • Pay stubs for equity wage lines and the before-and-after year-to-date totals.
  • Boxes 1, 3, 5, 16, and related boxes when the year has closed.
  • Plan language and broker lot detail for price and quantity differences.
  • HR or payroll location records if a move or remote-work change is involved.

A concise payroll request with attached evidence

Illustration only, not your tax situation.

Marco's October confirmation shows 300 taxable shares and an official value of $18,450, but his October pay stub adds $20,100 to equity wages. His prior and current stubs show the same $1,650 increase in year-to-date federal and Medicare wages, so he sends payroll both stubs and the confirmation. His request says: “Please review event V-1042 dated October 15. The attached confirmation reports $18,450 of gross value; the attached pay stubs show a $20,100 increase in equity, federal, and Medicare wages, a $1,650 difference. Please tell me the methodology and valuation date used, the work and residence state on the event, and the Social Security and Medicare treatment. If payroll confirms the wage entry is incorrect, please explain whether it will be corrected in current-year payroll or, if forms have already been issued, through Form W-2c, and provide the revised calculation.” This is a factual document request, not a demand for a particular legal conclusion.

Questions people ask

Should I contact the broker or payroll first?
Contact payroll about wage, , state, and FICA fields. Contact the broker about lot quantity, transaction history, proceeds, or reported basis. Copy the plan administrator when the disputed input is the official or .
Can payroll fix an RSU vest on a later paycheck?
Sometimes, if the employer confirms the error while the payroll year is open. The method depends on its payroll system and which wage or tax fields are affected, so ask for the resulting year-to-date calculation.
Does underwithholding mean payroll must issue a W-2c?
Not necessarily. If wages and actually taken were reported correctly, owing additional tax is not itself a reporting error. A W-2c corrects erroneous information, not the gap between and final tax.
What if payroll closes the ticket without showing its math?
Reply with the one-event reconciliation, request the documented method and wage calculation, and escalate through HR or the stock-plan team. Preserve case numbers and written responses in case filing forms later conflict.

When a CPA is worth it

  • Payroll confirms wrong federal, state, Social Security, or Medicare wages but will not describe a correction path.
  • You already filed a return before receiving a W-2c for the disputed .
  • A move, remote-work period, or international assignment makes the correct state or country sourcing unclear.
  • Payroll and the plan administrator provide conflicting calculations with a material tax effect.
